Terms and Conditions

Welcome to Slotly Ltd. (“Slotly,” “we,” “us,” or “our”). By using our mobile application, website, and related services (collectively, the “Platform”), you agree to these Terms and Conditions. Please read them carefully before using Slotly.

These Terms are governed by the Kenya Contracts Act, the Kenya Information and Communications Act (KICA), the Consumer Protection Act, 2012, and all other applicable laws.

1. Definitions

• “Customer” – a user who books or purchases services through Slotly.

• “Vendor” – a business or individual offering services on Slotly.

• “Platform” – the Slotly app, website, and related systems.

• “Booking Fee” – a minimum fee charged on all bookings as outlined under Section 7.

• “User” – collectively refers to both Vendors and Customers.

2. Eligibility

• Users must be at least 18 years old to register.

• Vendors must provide valid documentation (e.g., business permit or national ID) for verification.

• By registering, you confirm that all information provided is true, accurate, and complete.

3. Account Registration

• Users must create an account to access services.

• You are responsible for maintaining the confidentiality of your account and login details.

• Any activity under your account is deemed to be carried out by you.

4. Vendor Obligations

Vendors agree to:

• Provide accurate and up-to-date business information during onboarding.

• Fulfill bookings in line with descriptions and agreed timelines.

• Comply with all Kenyan laws, including the Penal Code, Data Protection Act, and Consumer Protection Act.

• Not engage in fraudulent, illegal, or harmful activities (e.g., unlicensed operations, narcotics, or adult services prohibited under Kenyan law).

• Accept that Slotly reserves the right to suspend or terminate vendors who breach these Terms.

5. Customer Obligations

Customers agree to:

• Use the Platform only for lawful purposes.

• Provide accurate information when booking.

• Respect Vendor rules and cancellation policies.

• Not misuse Slotly for fraudulent or harmful purposes.

6. Verification and Badges

• Vendors may receive a verification badge once documents are reviewed and approved.

• Vendors with incomplete or pending documents may have restricted access (e.g., cannot receive bookings until approved).

• Slotly is not liable if a Vendor provides false or misleading documents, but reserves the right to take legal action.

7. Fees and Payments

• Slotly charges a Booking Fee and/or commission per transaction.

• This may be a flat fee or percentage of the service cost, as specified in your Vendor agreement.

• Booking Fees are non-refundable, unless otherwise stated in specific cases.

• Vendors will receive payouts after Slotly deducts applicable fees and taxes.

• Slotly uses third-party payment processors (e.g., M-Pesa, banks) and is not responsible for delays caused by these services.

8. Cancellations and Refunds

• Cancellation policies may vary by Vendor.

• Customers may receive full, partial, or no refunds, depending on the Vendor’s cancellation policy and Slotly’s discretion.

• Slotly reserves the right to mediate disputes but is not legally responsible for Vendor-customer disagreements.

9. Intellectual Property

• All content on Slotly (logo, brand name, platform design) is the intellectual property of Slotly Ltd.

• Vendors retain ownership of their service descriptions and images but grant Slotly a license to display them for promotional purposes.

10. Prohibited Activities

Users may not:

• Use Slotly for illegal, harmful, or fraudulent purposes.

• Post false, misleading, or offensive content.

• Circumvent the Platform by arranging services outside Slotly to avoid fees.

11. Limitation of Liability

• Slotly acts as a facilitator between Customers and Vendors.

• Slotly is not liable for:

• Service quality delivered by Vendors.

• Loss, damage, injury, or fraud arising from Vendor or Customer actions.

• Slotly’s liability is limited to the fees paid to Slotly for the transaction in question.

12. Indemnity

By using Slotly, you agree to indemnify and hold harmless Slotly Ltd., its directors, employees, and partners against any claims, damages, or losses arising from:

• Your use of the Platform.

• Your violation of these Terms.

• Your breach of applicable laws.

13. Data Protection

• Slotly will process personal data in accordance with the Kenya Data Protection Act, 2019.

• Users must consent to Slotly’s Privacy Policy before registering.

14. Termination

• Slotly may suspend or terminate accounts for:

• Breach of these Terms.

• Fraudulent or illegal activity.

• Failure to comply with legal requirements.

15. Governing Law and Dispute Resolution

• These Terms are governed by the laws of Kenya.

• Any disputes shall first be resolved through negotiation.

• If unresolved, disputes shall be referred to mediation or arbitration in Nairobi, in accordance with the Arbitration Act of Kenya.

16. Amendments

• Slotly may update these Terms from time to time.

• Users will be notified via the app, email, or website when significant changes occur.

• Continued use of the Platform constitutes acceptance of the updated Terms.
